Terms of Service

1. Introduction & Acceptance

Welcome to AuteurPro. These Terms of Service ("Terms") govern your access to and use of AuteurPro's website, services, and applications (collectively, the "Service"). The Service is operated by Diamond Dog Film BV, a Belgian limited liability company (Besloten Vennootschap) registered under company number BE1008.209.783, with registered office at Jules Van Biesbroeckstraat 156, 9050 Gent, Belgium ("AuteurPro", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Service.

2. Service Description

AuteurPro is a professional screenplay writing tool that combines traditional screenwriting software with AI-powered writing assistance. Our Service includes:

• Industry-standard screenplay formatting
• AI-Writing assistance
• Character development tools
• Scene breakdown and beat board features
• Collaboration and sharing capabilities
• Project management and version history
• Export to PDF and other formats

The Service is offered on a subscription basis with multiple plans (Free, Auteur, Studio). Features available vary by subscription tier.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information remains accurate and up-to-date

You may only maintain one account per person unless you have a Studio plan that permits multiple seats. Accounts are non-transferable.

4. Subscription & Billing

4.1 Subscription Plans

We offer multiple subscription tiers with varying features and pricing:

• Free Plan: Basic features with limitations (30-page limit, no AI assistance)
• Auteur Plan: Full features with AI tokens (€15/month)
• Studio Plan: Team collaboration with multiple seats (contact for pricing)

4.2 Payment Processing

Payments are processed through Polar (our payment processor). By subscribing, you authorize Polar to charge your payment method on a recurring basis. You agree to provide accurate payment information and update it as needed.

4.3 Billing Cycle

Subscriptions renew automatically at the end of each billing period (monthly or annually, depending on your selection). You will be charged at the beginning of each billing cycle unless you cancel before renewal.

4.4 Cancellation & Refunds

You may cancel your subscription at any time through your Account Settings. Cancellations take effect at the end of your current billing period, and you will retain access until then. We do not provide refunds for partial months or unused AI tokens, except as required by law. If you believe you are entitled to a refund, contact us at julien@enigmareleasing.com.

4.5 Price Changes

We may change our pricing with 30 days' advance notice. Price changes will apply to your next billing cycle after notice is given. Continued use of the Service after a price change constitutes acceptance of the new price.

5. User Content & Intellectual Property

5.1 Your Ownership Rights

You retain all intellectual property rights to your screenplays, characters, scenes, and other content you create using the Service ("User Content"). We do not claim ownership of your creative work.

5.2 Limited License to Us

By using the Service, you grant AuteurPro a limited, non-exclusive, royalty-free license to:

• Host, store, and process your User Content to provide the Service
• Transmit your User Content to AI providers for writing assistance features
• Display your User Content to collaborators you explicitly invite
• Create backups and maintain version history

This license terminates when you delete your content or close your account (subject to a 30-day retention period for backups).

5.3 AI-Generated Content

When you use our AI-Writing assistance features, the AI may generate suggestions, dialogue, descriptions, or other content. You are responsible for reviewing and editing all AI-generated content. We do not guarantee the accuracy, quality, or suitability of AI suggestions. You retain ownership of content that incorporates AI suggestions.

5.4 Your Warranties

You represent and warrant that:

• You own or have the necessary rights to all User Content you upload
• Your User Content does not infringe any third party's intellectual property or other rights
• Your User Content complies with all applicable laws and these Terms

6. Collaboration Features

AuteurPro allows you to share your screenplays with collaborators and assign different permission levels (owner, editor, viewer). You are responsible for:

• Managing access permissions to your screenplays
• The actions of users you invite as collaborators
• Ensuring collaborators comply with these Terms

Share links you generate may be used by anyone with access to the link. Use caution when sharing links publicly.

7. Prohibited Uses

You agree NOT to:

• Violate any laws or regulations
• Infringe intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to reverse engineer, decompile, or hack the Service
• Scrape, crawl, or use automated tools to access the Service without permission
• Resell or redistribute access to the Service
• Impersonate another person or entity
• Use the Service to generate illegal, harmful, or abusive content
• Circumvent usage limits or restrictions (e.g., page limits, AI token limits)
• Share your account credentials with others

8. My Enigma Integration (Future Service)

8.1 About My Enigma

AuteurPro is part of the EnigmaOS ecosystem, which includes My Enigma, our upcoming social network for creative professionals. My Enigma will allow you to connect with other writers, share your work, and build your creative portfolio.

8.2 Optional Account Creation

When My Enigma launches, we may offer you the opportunity to create a linked account using your AuteurPro credentials (email and name). This is entirely optional. You can choose to:

• Opt-in during signup or in your Account Settings before My Enigma launches
• Receive an invitation email when My Enigma launches and decide then
• Decline entirely with no impact on your AuteurPro service

8.3 Data Sharing

If you consent to a My Enigma account, your email address, name, and profile information will be shared with My Enigma (also operated by Diamond Dog Film BV). My Enigma will have a separate Privacy Policy and Terms of Service that you must accept when creating your account.

8.4 Independence of Services

Your AuteurPro subscription and access are completely independent of My Enigma. You can use AuteurPro without ever creating a My Enigma account. You can withdraw your consent and delete your My Enigma account at any time through Settings.

9. Service Availability

We strive to provide reliable, uninterrupted access to the Service, but we do not guarantee 100% uptime. The Service may be unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or updates
• Third-party service failures (hosting, AI providers, payment processors)
• Factors beyond our reasonable control

We reserve the right to modify, suspend, or discontinue any feature of the Service with or without notice.

10. Termination

10.1 Your Right to Cancel

You may cancel your subscription or close your account at any time through Account Settings or by contacting us at julien@enigmareleasing.com.

10.2 Our Right to Terminate

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity or payment disputes
• Use the Service in a manner that harms us or other users
• Fail to pay subscription fees

10.3 Data Retention After Termination

Upon termination or account closure, your User Content will be retained for 30 days to allow for recovery or reactivation. After 30 days, your content will be permanently deleted. We may retain certain data for longer periods as required by law (e.g., billing records for 7 years under Belgian tax law).

11. Disclaimers & Limitation of Liability

11.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that:

• The Service will be uninterrupted or error-free
• AI-generated content will be accurate, suitable, or free from errors
• Your content will not be lost (you should maintain your own backups)
• The Service will meet your specific requirements

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTEURPRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or content
• Loss of business opportunity
• Damages arising from your use or inability to use the Service

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless AuteurPro, Diamond Dog Film BV, and our officers, directors, employees, contractors, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your infringement of any third party's rights

13. Dispute Resolution & Governing Law

13.1 Governing Law

These Terms are governed by the laws of Belgium, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Gent, Belgium.

13.2 Informal Resolution

Before initiating any formal legal proceedings, please contact us at julien@enigmareleasing.com to attempt to resolve the dispute informally.

13.3 EU Dispute Resolution

If you are an EU consumer, you may also use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

14. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by:

• Email to your registered email address
• Prominent notice on the Service
• Requiring you to accept the new Terms upon next login (for significant changes)

Changes will be effective 30 days after notice is provided (or immediately for changes required by law). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AuteurPro regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
